Business Transfer in Spain
A Spanish traspaso is not one standard transaction. It may combine the transfer of a lease, business assets, stock, licences, employees, goodwill and ongoing contracts. We help buyers and sellers define exactly what is transferred and investigate the legal, tax and operational risks.
What does the traspaso include?
The agreement should identify whether the buyer acquires only selected assets or takes over an operating business. The premises lease, trade name, equipment, stock, customer data, telephone numbers, licences, deposits and supplier contracts require separate treatment.
Premises and landlord
The lease must be reviewed for assignment, subletting, notice, rent increase, guarantees, permitted activity and remaining term. The commercial value of a business can collapse if the buyer cannot lawfully remain in the premises.
Landlord consent may be contractually required even where statutory rules would otherwise permit an assignment.
Licences and municipal compliance
Opening, activity, terrace, environmental, health or sector licences may not transfer automatically. The buyer should confirm the authorised activity, holder, technical conditions and outstanding inspections with the competent authority.
Employees, debts and succession risk
Taking over an economic unit can trigger employee succession rules and potential liabilities. Tax and Social Security certificates, payroll, contracts and pending claims should be reviewed.
An asset-only label does not eliminate succession risk if the transaction functions as a transfer of an undertaking.
Price, deposit and closing
The contract should allocate price among assets where appropriate, regulate stock counting, conditions precedent, landlord and licence matters, employee information, warranties, retained amounts and handover.
Tax treatment differs between a transfer of an entire autonomous business and individual assets, so advice is needed before invoicing or paying.

Is a traspaso only the sale of a lease?
No. It may include the lease position, assets, stock, licences, employees, goodwill and contracts in different combinations.

Do business licences transfer automatically?
Often not. Municipal and sector procedures depend on the licence and activity.
Can the buyer inherit employee liabilities?
Yes, business succession rules can apply where an economic unit retains its identity.
